TERMS OF SERVICE

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer”, “you”, “your”) and Piperocket Digital Private Limited, a company incorporated under the laws of India, doing business as PipeRocket (“PipeRocket”, “we”, “us”, “our”).

These Terms govern your access to and use of the PipeRocket Tool and related services (collectively, the “Service”).

By creating an account, accessing, or using the Service, you agree to these Terms.

If you are creating an account, accessing, or using the Service on behalf of an organization, you represent and warrant that you have the authority to bind such organization.

1. DEFINITIONS

  • “Affiliate” means any entity controlling, controlled by, or under common control with a party.
  • “Customer” means the entity or person entering into these Terms.
  • “User” means an individual authorized by Customer to use the Service.
  • “Customer Data” means data, prompts, content, files, and information submitted to the Service by Customer/Users.
  • “Output” means results generated by the Service based on Customer Data (e.g., reports, insights, recommendations).
  • “Subscription” means the paid plan (if any) selected by Customer.
  • “Intellectual Property Rights” means patents, copyrights, trademarks, trade secrets, and related rights worldwide

2. ELIGIBILITY & AUTHORITY

  • You must be at least 18 years old and legally competent to enter into binding agreements.
  • If using the Service on behalf of a legal entity, you represent that you have the authority to bind that entity.
  • You may not use the Service if prohibited by applicable law.

3. ACCOUNT REGISTRATION & SECURITY

  • The customer must provide accurate and complete information.
  • Customer is solely responsible for all activity under its account, managing Authorized Users and protecting login credentials
  • PipeRocket is not responsible for unauthorized access resulting from the Customer’s failure to maintain security.
  • We reserve the right to suspend accounts suspected of fraudulent or abusive activity.

4. DESCRIPTION OF SERVICE 

  • We provide access to the Service as described on https://addecodr.com.
  • We may update, change, or discontinue parts of the Service (including features) from time to time. If changes materially reduce core functionality of a paid plan, we’ll provide reasonable notice where feasible.

5. LICENSE & PERMITTED USE

Subject to these Terms and payment of applicable fees, PipeRocket grants Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Service during the Subscription term for Customer’s internal business purposes.

6. ACCEPTABLE USE POLICY

You will not (and will not allow anyone to):

  • Use the Service to violate any law, infringe IP rights, or violate privacy/data protection requirements.
  • Reverse engineer, decompile, bypass security, or attempt to gain unauthorized access.
  • Interfere with the Service (e.g., scraping, load testing without consent, malware, abuse).
  • Use the Service to transmit unlawful, harmful, or deceptive content.
  • Use the Service to build a competing product or benchmark publicly without written permission.

PipeRocket may suspend access immediately if violations pose legal, security, or operational risk.

7. CUSTOMER DATA, OWNERSHIP & PERMISSION

  • Customer owns Customer Data. PipeRocket does not claim ownership over Customer Data.
  • Customer grants PipeRocket a limited license to host, process, transmit, and display Customer Data only to provide, secure, and improve the Service (as described in the Privacy Policy).
  • Customer represents it has all rights, permissions, and lawful basis to provide Customer Data and authorize Users.

8. AI-SPECIFIC TERMS (if applicable)

  • Outputs may be probabilistic and may contain errors. Customer is responsible for verifying Outputs before relying on them for business, legal, financial, or compliance decisions.
  • No professional advice. The Service does not provide legal, tax, compliance, medical, or financial advice.

9. THIRD-PARTY SERVICES & INTEGRATIONS

The Service may integrate with third-party products (e.g., Google, Meta, LinkedIn, CRMs, email tools). Your use of third-party services is governed by their terms. PipeRocket is not responsible for third-party services, outages, or data handling outside our control.

10. FEES, TAXES & PAYMENT

  • Fees & taxes: Fees are specified on the pricing page or Order Form and exclude GST and other applicable taxes.
  • Billing: Subscriptions are billed in advance monthly or annually.
  • Auto-Renewal: Subscriptions renew automatically unless canceled before renewal.
  • Late Payment:  PipeRocket may suspend access after 7 days overdue.
  • No Refund Policy: All fees are non-refundable unless required by law.

11. CONFIDENTIALITY

Each party may receive confidential information (“Confidential Info”). The receiving party will:

  • Use it only to perform under these Terms;
  • Protect it with reasonable care; and
  • Not disclose it except to employees/contractors who need to know and are bound by confidentiality.

Exceptions: information that is public, already known lawfully, independently developed, or required to be disclosed by law (with notice when permitted).

12. DATA SECURITY

PipeRocket maintains reasonable administrative, technical, and organizational safeguards designed to protect Customer Data, including:

  • Access controls
  • Encryption in transit
  • Role-based permissions
  • Monitoring and logging

13. SERVICE LEVELS (IF APPLICABLE)

  • Target uptime: 99.5% excluding scheduled maintenance, force majeure and third-party outages.
  •  Support provided via designated channels during business hours (IST).

No service credits unless explicitly agreed in an enterprise SLA

14. INTELLECTUAL PROPERTY

  • PipeRocket retains all rights in the Service, software, design, templates, and documentation.
  • Customer retains rights in Customer Data.
  • Feedback: if you provide suggestions, PipeRocket may use them without restriction or obligation.

15. SUSPENSION & TERMINATION

  • By Customer: cancel anytime via https://addecodr.com/cancel. Access continues until the end of the paid term unless stated.
  • By PipeRocket: we may suspend/terminate for material breach, illegal use, security risk, or non-payment.
  • Effect: upon termination, your access stops. The customer may request export of Customer Data within [30] days, subject to technical feasibility.

16. DATA RETENTION AND DELETION

We will retain and delete Customer Data per the Privacy Policy and our retention schedule, and as required by law. Deletion may be delayed for backups/logs for a limited period.

17. WARRANTIES & DISCLAIMERS

  • The Service is provided “as is” and “as available.”
  • To the maximum extent permitted by law, PipeRocket disclaims all warranties (merchantability, fitness for purpose, non-infringement, uninterrupted/error-free service).

18. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • PipeRocket will not be liable for indirect, incidental, consequential, special, punitive damages, or loss of profits/revenue/data/business, even if advised of the possibility.
  • PipeRocket’s total liability for all claims in a 12-month period will not exceed the amount paid by Customer to PipeRocket in the 12 months preceding the event or
  • INR 1,000 if on free plan.

19. INDEMNIFICATION

  • Customer indemnity: Customer will indemnify PipeRocket against claims arising from Customer Data, misuse of the Service, or violation of law/third-party rights.
  • PipeRocket indemnity (optional/enterprise): PipeRocket will indemnify Customer for third-party claims that the Service infringes IP rights, subject to standard conditions (notice, control of defense, cooperation).

20. FORCE MAJEURE

Neither party is liable for delays/failures due to events beyond reasonable control (internet outages, disasters, war, government action, etc.).

21. GOVERNING LAW & JURISDICTION

  • These Terms are governed by the laws of India.
  • Any dispute, claim, or litigation shall be subject to the exclusive jurisdiction of the competent courts in Tamil Nadu, India. 

22. CHANGES TO THESE TERMS

We may update these Terms. If changes are material, we’ll notify via email/in-app. Continued use after the effective date means acceptance.

23. OTHERS

  • Assignment: Customer may not assign these Terms without written consent.PipeRocket may assign these Terms in connection with a merger, acquisition, or restructuring.
  • Severability: If any provision is invalid, remaining provisions remain enforceable.
  • Entire Agreement: These Terms, together with the Privacy Policy and any Order Form, constitute the entire agreement between the parties.
